Assistant General Counsel
Department: Legal
Reports to: General Counsel
Responsibilities:
- Serve as a primary lawyer to review, draft and negotiate commercial agreements, such as master services agreements, data processing agreements, independent contractor agreements, licensing and vendor agreements and other contracts.
- Analyze contractual requirements and legal terms and conditions to ensure compliance with appropriate laws, regulations, and company policies and procedures.
- Foster compliance with Suvoda’s internal policies and legal and regulatory requirements.
- Identify legal and contractual risks and creatively problem solve.
- Advise internal sales, compliance, financial, and operations personnel on daily questions and long-term projects.
- Work with compliance and security teams to manage third party vendor risk management process.
- Implement scalable contracting processes.
- Perform other related duties as required.
Requirements:
- At least 5 years' experience in a law firm, in-house legal department or equivalent setting .
- J.D. from an ABA accredited law school required.
- Member in good standing of the PA bar.
- Exceptional organizational, analytical and drafting skills with great attention to detail.
- Strong team player with a positive attitude and desire to work collectively to achieve team and company goals.
- Ability to work and think independently, possessing sound, creative problem-solving skills.
- Responsive, client-service focused and professional.
- Willingly accepts additional responsibility, challenging tasks, and/or projects and able to flexibly juggle multiple priorities.
