Head of Corporate Development (M&A)

Location: This position is remote or hybrid. Soltis has offices in St. George, UT; Salt Lake City, UT; Las Vegas, NV; Dallas, TX; Seattle, WA; Detroit, MI; Chicago, IL; Cleveland, OH; Columbus, OH; Dayton, OH and Phoenix, AZ. Occasional travel required for conferences and meetings as well as to St. George, UT, for internal meetings, management presentations and transaction-related activities.

Soltis Investment Advisors is seeking a Head of Corporate Development (M&A) to help drive the firm's inorganic growth strategy and partner closely with the CEO, President, CFO, Head of M&A, Senior Leadership Team ("SLT"), Board of Directors ("Board"), and private equity sponsors, Estancia Capital Partners and LLR Partners ("Co-investors"). This role will be responsible for leading the analytical, execution and process management workstreams across M&A opportunities, including acquisitions of wealth management firms and advisor tuck-ins/lift-outs. This role is crucial to the firm's growth trajectory and requires a professional with deep transaction execution expertise and experience operating as a transactional leader, leading diligence, valuation, deal execution, legal negotiations, supporting integration planning and ongoing reporting against Soltis' strategic growth objectives.

This new hire will serve as the primary execution lead, owning transaction analysis, diligence coordination, negotiations, internal approvals and closing processes from initial evaluation through post-close handoff. They will partner with the Head of M&A who will lead origination (prioritizing proprietary transactions), target/banker relationship development and support integration initiatives.

Primary Accountabilities:

  • Coordinate with SLT, Board, Head of M&A and Co-investors to execute Soltis' overall M&A and corporate development strategy. This position will report directly to the President.
  • Own the end-to-end analytical workstream for potential transactions, including target screening, financial statement analysis, quality of earnings review support, valuation, accretion/dilution analysis, synergy assessment and post-acquisition impact on Soltis' financial profile.
  • Evaluate opportunities in the context of relative accretion to shareholder returns.
  • Support transaction negotiations and execution, including process management, deal structuring analysis, LOI, definitive documents and purchase agreement support, financing coordination, closing checklists and stakeholder communication.
  • Coordinate comprehensive diligence efforts across financial, legal, compliance, tax, technology, operations, human capital and client / advisor retention workstreams in collaboration with SLT, Head of M&A, Co-investors and third-party advisors.
  • Prepare investment committee, Board, lender and internal management materials, including target summaries, valuation outputs, diligence findings, transaction recommendations, integration plans and post-close performance updates.
  • Refine and instill repeatable M&A processes, diligence templates, valuation frameworks, integration playbooks, performance dashboards and post-close reporting routines.
  • Develop relationships with potential acquisition targets and advisor teams, supporting outreach efforts and helping articulate the Soltis value proposition to prospective partners.
  • Partner with CFO and functional leaders to support integration plans across human capital, technology, operations, compliance, client service, branding and reporting, with a focus on smooth transitions and realization of underwritten synergies. Ensure post-close execution consistent with deal assumptions (compensation framework, hiring assumptions, etc.) in conjunction with the CFO.
  • Support broader corporate development and strategic finance initiatives as needed, including capital markets activity, lender reporting, organic growth analysis, strategic planning, market research and exit readiness.
  • Continue to support the buildout of a scalable corporate development function with clear processes, accountability and analytical standards that support Soltis' continued organic and inorganic growth.

Qualifications:

  • Bachelor's degree required; finance, accounting, economics, or related analytical discipline strongly preferred.
  • 5+ years of investment banking, private equity, corporate development, transaction advisory, or relevant M&A execution experience; wealth management, RIA, financial services, or sponsor-backed company experience preferred.
  • Prior investment banking or principal investing experience required.
  • Strong quantitative and analytical capabilities, including financial statement analysis and financial model forecasting, valuation, returns analysis and transaction and scenario modelling.
  • Strong communication and presentation skills, with the ability to create high-quality Board, investment committee, lender and management materials in PowerPoint and Excel.
  • High attention to detail and strong project management skills, with the ability to coordinate multiple stakeholders, manage deadlines and drive transaction workstreams with limited oversight.
  • Highly proficient in Microsoft Excel and PowerPoint; experience with CRM tools (Salesforce preferred)
  • Strong drive, proactive mindset and results-oriented attitude.
