About the Role

Salute Mission Critical is seeking a Commercial Attorney to support our rapidly growing global data center services business. This role is ideal for a pragmatic, business focused attorney comfortable working in a fast moving environment and partnering closely with Sales, Operations, HR, Procurement, Finance, and Executive Leadership.

The attorney’s primary responsibility will be drafting, reviewing, and negotiating customer facing and vendor facing commercial agreements, including MSAs, SOWs, NDAs, subcontractor agreements, referral agreements, service addenda, and other operational contracts.

Key Responsibilities

Commercial Contracting

  • Draft, review, and negotiate a high volume of customer and vendor contracts, including:
    • Master Services Agreements (MSAs)
    • Statements of Work (SOWs)
    • NDAs
    • Partner and referral agreements
    • Vendor and subcontractor agreements
    • Purchase orders, onboarding documents, and amendments
  • Ensure all agreements align with Salute’s business model, risk profile, insurance requirements, and operational realities.
  • Identify and clearly articulate contractual risks and mitigation strategies (e.g., liability caps, indemnities, warranty obligations, termination rights, liquidated damages, subcontractor liability, third party assumption obligations).
  • Maintain consistency with Salute’s preferred contract positions and drafting standards.

Cross Functional Legal Support

  • Partner with Sales and Operations teams to support contract structuring that meets customer requirements while protecting Salute’s interests.
  • Support Procurement in negotiating vendor terms, ensuring flow down obligations from customer contracts are properly addressed.
  • Provide guidance to Operations on contract interpretation, change orders, scope creep mitigation, and issue escalation.
  • Assist Finance with payment dispute resolution and invoicing related contract terms.

Templates, Playbooks & Process Improvement

  • Contribute to the refinement and updating of Salute’s contract templates, fallback provisions, contracting playbooks, and clause libraries.
  • Improve internal processes to increase contracting speed and predictability.
  • Recommend and implement best practices for contract lifecycle management.

Compliance & Risk Management

  • Ensure contracts comply with applicable laws, including data privacy, export controls, anticorruption, employment related flow down requirements, and industry specific regulatory obligations.
  • Support Legal in audits, litigation holds, investigations, compliance initiatives, and internal policy updates.
  • Spot areas of elevated business risk (e.g., uncapped liabilities, customer mandated subcontractor responsibility, termination for convenience issues, scope ambiguities) and escalate appropriately.

Qualifications - Required

  • J.D. from an accredited law school; admission to at least one U.S. state bar.
  • 4-5 years’ legal experience, with 1–2+ years in house in a commercial or corporate role.
  • Strong experience drafting, reviewing, and negotiating commercial agreements.
  • Ability to translate complex legal concepts into practical, business focused advice.
  • Excellent judgment, attention to detail, and ability to manage multiple priorities in a dynamic environment.
  • Demonstrated ability to collaborate effectively across functions and geographies.

Qualifications - Preferred

  • Experience supporting a services or technology business, ideally involving MSAs/SOWs, subcontractor management, and operational risk allocation.
  • Familiarity with data center, infrastructure, or facilities related services contracts.
  • Experience with global contracting and cross border legal issues.
  • Prior involvement in building or maintaining contract templates/playbooks.
